Choosing a state for your first company

Maintenance fees, documentation requirements and how the business plans to operate are information that should be placed side by side when comparing options.

State of registration is an operational decision, not just a choice of a place with low start-up costs. For Vietnamese sellers, the starting point should be the actual location of operations, customers, personnel, warehouse and requirements of the payment platforms expected to be used.

Start from the business model

Clearly state the product or service, customer market, sales platform, and how to receive payment. According to U.S. Small Business Administration (SBA), the location of operations may impact taxes and related regulations. If doing business in multiple states, the business may have to consider registration procedures outside the state of establishment.

Compare costs across the entire lifecycle

The comparison table should separate initial registration costs, address or registered agent, periodic reports and expenses incurred by activity. Low fees in the first year do not indicate total maintenance costs. Fees and deadlines vary by state; check the state registrar's page at the time of decision.

Link records to actual activities

The legal entity name, owner information, address, website, and activity description need to be consistent across registration, bank account, and payment platform profiles. It should be recorded who manages the records, who has access to updates and where the original copies of the documents are kept.

When should I consider registering in another state?

The SBA explains that an LLC or corporation operating in multiple states may need “foreign qualification” in a state other than the place of incorporation. This depends on the specific situation and state law; It should not be inferred that simply by registering in one state you can waive all obligations in another state.

Confirm before proceeding

The scope of services, output, initial costs and maintenance costs should be clearly stated in the quote. For specific tax or legal obligations, businesses should check with competent authorities and licensed experts in the relevant place.
